Terms of Service

1. Introduction

Welcome to TrustMRR. These Terms of Service ("Terms") govern your use of our platform that aggregates and displays verified startup revenue data and provides a marketplace for connecting buyers and sellers interested in startup acquisitions. By using TrustMRR, you agree to these Terms.

2. Data Collection and Usage

2.1 Payment Provider API Keys

To verify your startup's revenue, we require you to provide a read-only API key from your payment provider (Stripe, LemonSqueezy, Polar, or DodoPayment). These API keys are:

  • Stored securely using encryption
  • Used only to fetch revenue-related metrics
  • Restricted to read-only permissions (we cannot modify your account or process payments)
  • Never shared with third parties

2.2 What Data We Collect

We ONLY collect revenue-related metrics:

  • Total revenue amounts
  • Monthly Recurring Revenue (MRR)
  • Last 30 days revenue
  • Aggregate customer count (total number only)
  • Active subscriptions count
  • Churn rates and metrics
  • Growth percentages
  • Charge/payment counts
  • Business account information (name, icon, website, description - publicly available information)

2.3 What Data We DO NOT Collect

We explicitly do NOT collect or store any customer information:

  • Customer names
  • Customer email addresses
  • Customer physical addresses
  • Payment method details (credit card numbers, bank accounts, etc.)
  • Individual transaction details with customer information
  • Any personally identifiable information (PII) of your customers
  • Billing addresses of customers
  • Customer phone numbers

Important: Your customer data remains completely private. We only access aggregate revenue metrics and never see, store, or have access to individual customer information.

3. How We Use Your Data

The revenue metrics we collect are used solely for:

  • Displaying your startup's verified revenue on TrustMRR
  • Including your startup in revenue leaderboards and rankings
  • Calculating growth trends and metrics
  • Providing analytics and insights about your revenue performance

We update revenue data automatically on a regular basis (typically hourly) using your provided API key. You can remove your startup and revoke API access at any time.

4. API Key Security

We recommend using restricted API keys with read-only permissions. For Stripe, we only accept restricted keys (rk_live_*) that have limited permissions:

  • Read-only access to charges
  • Read-only access to subscriptions
  • Read-only access to account information

These restricted keys cannot be used to modify your account, process refunds, or access sensitive customer data. Your API keys are encrypted and stored securely in our database.

5. Data Accuracy and Verification

All revenue data displayed on TrustMRR is pulled directly from your payment provider's API. We do not modify or manipulate this data. The metrics shown reflect the actual revenue data from your payment provider account.

6. Your Rights

You have the right to:

  • Remove your startup from TrustMRR at any time
  • Revoke API access by deleting or rotating your API key
  • Request deletion of your startup's data from our platform
  • Update your startup's information

7. Third-Party Services

TrustMRR integrates with payment providers (Stripe, LemonSqueezy, Polar, DodoPayment) to fetch revenue data. Your use of these services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of these third-party services.

8. Marketplace and Acquisition Services

TrustMRR provides a platform that facilitates connections between buyers and sellers interested in startup acquisitions. The following terms apply to all marketplace activities:

8.1 Platform Role

TrustMRR acts solely as an intermediary platform that facilitates introductions and communications between potential buyers and sellers. We are not a party to any transaction, agreement, or contract between buyers and sellers. We do not participate in, facilitate, or oversee the actual transfer of assets, businesses, or ownership interests.

8.2 No Responsibility for Transactions

TrustMRR assumes no responsibility or liability whatsoever for:

  • The outcome, success, or failure of any transaction between buyers and sellers
  • The accuracy, truthfulness, completeness, or reliability of any information, representations, or statements made by buyers or sellers in connection with any potential transaction
  • The accuracy or authenticity of any financial data, revenue figures, margins, metrics, or business information shared between parties
  • Any misrepresentations, false statements, fraudulent claims, or deceptive practices by either buyers or sellers
  • The transfer, delivery, or receipt of any assets, intellectual property, customer data, or business operations
  • Any disputes, disagreements, or legal issues arising between buyers and sellers
  • Any losses, damages, or harm resulting from transactions or communications facilitated through our platform
  • The verification or validation of any claims, numbers, or data presented by sellers or buyers

8.3 No Verification or Due Diligence

TrustMRR does not verify, validate, or authenticate any information provided by buyers or sellers, including but not limited to:

  • Financial statements, revenue figures, or profit margins
  • Business metrics, customer counts, or growth rates
  • Ownership claims or legal status of businesses
  • Asset valuations or business valuations
  • Legal compliance, licenses, or regulatory status
  • Intellectual property ownership or rights
  • Customer data, contracts, or agreements
  • Any other representations made by users

8.4 User Responsibility and Due Diligence

All users of the marketplace acknowledge and agree that:

  • They are solely responsible for conducting their own independent due diligence before entering into any transaction
  • They must verify all information, claims, and representations independently through their own legal, financial, and business advisors
  • They bear all risk associated with any transaction and are responsible for their own business decisions
  • TrustMRR is not responsible for any losses resulting from reliance on unverified information
  • They should consult with qualified professionals (lawyers, accountants, business brokers) before completing any transaction

8.5 Required Transaction Processing

All deals initiated on TrustMRR must be completed through TrustMRR's platform. By initiating a transaction on TrustMRR, you agree to complete the transaction through our platform using our integrated escrow services. Circumventing TrustMRR's platform to complete a transaction outside of our system is strictly prohibited and may result in account suspension or termination.

If, for any reason, our standard escrow service is not suitable for your transaction (e.g., you need to use a bank escrow, attorney escrow, or complete the transaction directly), you must:

  • Contact TrustMRR customer support before completing the transaction outside our platform
  • Obtain written approval from TrustMRR to proceed with an alternative payment method
  • Pay the TrustMRR platform fee as outlined in our fee structure, which will be invoiced separately
  • Provide proof of transaction completion to TrustMRR customer support upon request

Failure to comply with this requirement may result in immediate account suspension, termination, and potential legal action. TrustMRR reserves the right to charge the applicable platform fee regardless of whether the transaction is completed through our platform or through alternative means, if the transaction was initiated through TrustMRR.

8.6 No Warranties

TrustMRR makes no warranties, representations, or guarantees of any kind regarding:

  • The accuracy, completeness, or truthfulness of any information on the platform
  • The quality, value, or condition of any business or assets listed for sale
  • The ability of buyers to complete transactions or sellers to deliver assets
  • The legal, financial, or business status of any listed startup
  • The success or profitability of any acquisition

Important: TrustMRR is a connection platform only. All transactions are between buyers and sellers directly. We are not involved in, responsible for, or liable for any aspect of your transaction. Conduct thorough due diligence and consult with professionals before making any acquisition decisions.

9. Acquisition Documents (LOI, APA) and Escrow Services

TrustMRR provides tools that allow buyers and sellers to create, sign, and exchange acquisition-related documents, including Letters of Intent (LOI) and Asset Purchase Agreements (APA). Additionally, we integrate with third-party escrow services to facilitate secure fund transfers. The following terms apply:

9.1 Letters of Intent (LOI) and Asset Purchase Agreements (APA)

By using our platform to create, sign, or exchange LOIs and APAs, you acknowledge and agree that:

  • These are legally binding documents between the buyer and seller only. TrustMRR is not a party to any LOI, APA, or any other agreement between users.
  • TrustMRR provides document templates as a convenience only. We make no representations or warranties about the legal sufficiency, enforceability, or appropriateness of these documents for your specific situation.
  • You are solely responsible for understanding the legal implications of any document you sign. We strongly recommend consulting with a qualified attorney before signing any LOI or APA.
  • TrustMRR does not provide legal advice and is not a law firm. The templates and tools provided should not be construed as legal advice.
  • Any terms, conditions, prices, timelines, or other provisions agreed upon in LOIs or APAs are solely between the buyer and seller. TrustMRR has no involvement in negotiating, enforcing, or interpreting these terms.
  • TrustMRR is not responsible for any disputes arising from LOIs, APAs, or any other agreements between buyers and sellers.

9.2 Electronic Signatures

Our platform allows users to electronically sign documents. By using this feature, you acknowledge that:

  • Your electronic signature is legally binding and has the same legal effect as a handwritten signature.
  • You consent to conducting transactions and signing documents electronically.
  • You are solely responsible for maintaining the security of your account and ensuring that only you sign documents on your behalf.
  • TrustMRR stores signature records (including timestamp, IP address, and user agent) for audit purposes, but is not responsible for verifying the identity of signers.

9.3 Third-Party Escrow Services

TrustMRR integrates with Escrow.com, a third-party escrow service, to facilitate secure fund transfers between buyers and sellers. By using escrow services through our platform, you acknowledge and agree that:

  • Escrow.com is a separate, independent third-party service. Your use of Escrow.com is subject to their own Terms of Service and policies.
  • TrustMRR does not hold, control, or have access to any funds held in escrow. All funds are held and managed solely by Escrow.com.
  • Any disputes, claims, or issues related to escrow funds, disbursements, or transactions must be resolved directly with Escrow.com. TrustMRR has no authority or ability to resolve escrow disputes.
  • TrustMRR is not responsible for any delays, errors, losses, or issues arising from the use of Escrow.com or any other third-party escrow service.
  • Escrow fees are determined by Escrow.com and are the responsibility of the buyer and/or seller as agreed between them.
  • TrustMRR does not guarantee the availability, reliability, or performance of Escrow.com or any third-party service.

9.4 Asset Transfer Responsibility

The transfer of startup assets (including but not limited to source code, domains, customer data, intellectual property, accounts, and any other assets) is solely the responsibility of the buyer and seller. TrustMRR:

  • Does not verify, validate, or guarantee the existence or ownership of any assets
  • Does not facilitate, oversee, or verify the actual transfer of any assets
  • Is not responsible for incomplete, incorrect, or failed asset transfers
  • Is not responsible for any assets that are missing, damaged, or not as described
  • Has no involvement in determining whether asset transfers have been completed satisfactorily

9.5 Dispute Resolution

In the event of any dispute between buyers and sellers:

  • For disputes related to escrow funds: Contact Escrow.com directly. Escrow.com has its own dispute resolution process and is the sole authority for resolving escrow-related disputes.
  • For all other disputes: Buyers and sellers must resolve disputes directly between themselves or through appropriate legal channels. TrustMRR will not mediate, arbitrate, or otherwise participate in dispute resolution.
  • TrustMRR may, at its sole discretion, provide records of communications or documents exchanged through our platform if legally required to do so.

Important: TrustMRR is a technology platform that provides tools to facilitate startup acquisitions. We are NOT a broker, agent, escrow company, law firm, or financial advisor. We do NOT participate in transactions, hold funds, transfer assets, or provide any guarantees. All transactions, agreements, and transfers are solely between buyers and sellers. You assume all risks associated with using our platform and participating in any transaction.

10. Limitation of Liability

TrustMRR is provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted by law, TrustMRR, its owners, operators, employees, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Losses resulting from transactions or communications facilitated through our platform
  • Losses resulting from reliance on inaccurate, incomplete, or false information provided by users
  • Losses resulting from fraudulent, deceptive, or illegal conduct by other users
  • Losses resulting from failed transactions, breached agreements, or disputes between users
  • Losses resulting from the transfer, delivery, or receipt of assets or businesses
  • Any inaccuracies in revenue data, which is pulled directly from your payment provider's API
  • Any errors, omissions, or interruptions in service availability

You are responsible for ensuring your API keys have appropriate permissions and restrictions. You acknowledge that your use of TrustMRR, including participation in any marketplace activities, is at your own risk.

11. Indemnification

You agree to indemnify, defend, and hold harmless TrustMRR, its owners, operators, employees, and affiliates from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the TrustMRR platform
  • Your participation in any marketplace transactions
  • Any information, representations, or statements you make on the platform
  • Your breach of these Terms
  • Your violation of any law or regulation
  • Any dispute between you and another user

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes by updating the "Last updated" date at the top of this page. Continued use of TrustMRR after changes constitutes acceptance of the new Terms.
